Terms and Conditions

This is the agreement between you and Easy Contractor, LLC for the use of EasyContractor. It covers what we provide, what you pay, who owns what, and what happens when either side wants to stop.

1.Agreement

These Terms are a binding contract between you and Easy Contractor, LLC ("we", "us"), of P.O. Box 481, Laceys Spring, AL 35754-0481. By creating an account, or by using EasyContractor, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

If you do not agree, do not use the service. Our Privacy Policy is incorporated into these Terms by reference.

2.Definitions

  • Service — the EasyContractor web application, the field application, and the website at easycontractor.app.
  • Organisation — the workspace created when you sign up, and the boundary within which your data lives.
  • Member — anyone you invite into your Organisation, including administrators and field crew.
  • Customer Data — everything you or your Members put into the Service: client records, jobs, time entries, location records, files and notes.

3.The Service

EasyContractor is software for running a contracting business — customers, jobs, scheduling, crew assignment, time tracking with optional location capture, equipment and product records, activity history and reporting. It is provided as a subscription over the internet; there is nothing to install, and we host and maintain it.

We may add, change or remove features. If we remove or materially degrade a feature you rely on, we will give you at least 30 days' notice by email, and you may cancel and receive a pro-rata refund of any prepaid period remaining.

What we have not agreed to

We do not commit to a specific uptime percentage and offer no service credits. We aim for continuous availability and take real measures to achieve it — monitoring, nightly backups, tested restores — but this is not a contract with an SLA, and you should not plan on the basis that it is. If that matters to your business, tell us before you subscribe rather than after.

4.Accounts, Members and roles

4.1Your account

You must give accurate information, confirm your email address and phone number, and keep your credentials secret. You are responsible for everything done under your account. Tell us immediately at support@easycontractor.app if you believe it has been compromised.

4.2Members

You may invite Members up to the limit of your plan and assign each a role and permissions. You are responsible for what your Members do in the Service, for keeping their access appropriate to their job, and — importantly — for removing access promptly when someone leaves. We cannot know that a crew member no longer works for you.

4.3One organisation per account

Each account belongs to one Organisation. Accounts may not be shared between people; a shared login makes the activity log meaningless, and the activity log is what protects you in a dispute about someone's hours.

5.Your responsibilities for other people's information

Most of the personal information in your Organisation is not yours and is not ours. It belongs to your clients and your employees. Under data protection law you are the controller of it and we are your processor, acting on your instructions.

That places some obligations on you rather than on us.

  • You must have a lawful basis for putting a person's information into the Service, and must tell them you are doing so where the law requires it.
  • You must handle requests from those people — to see, correct or delete their information — because they are your responsibility, not ours. We will help you find and export what you need.
  • You must not put special-category information into the Service: health records, biometric data, government identifiers, payment card numbers, or anything similar. The Service is not designed to hold it and it should not be there.

Location tracking is your decision, and your responsibility

The field application records a GPS position when a crew member clocks in or out, or starts or ends a job. Recording an employee's location is regulated differently across jurisdictions, and several require notice, consent, or both.

It is your responsibility to tell your crew that their location is recorded, to obtain any consent the law where you operate requires, and to use the feature lawfully. We provide the tool. We are not in a position to know your crew, your state, or what you have told them, and we do not accept responsibility for that decision.

You will indemnify us against claims arising from your failure to meet the obligations in this section, as set out in section 14.

6.Acceptable use

You may not:

  • Break the law with it, or use it to help someone else do so.
  • Try to access another organisation's data, probe or circumvent our security, or test it without our written permission.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code.
  • Resell, sublicense or provide the Service to a third party as your own, or use it to build a competing product.
  • Upload malware, or anything infringing someone else's rights.
  • Overload the Service, or automate access in a way that degrades it for others.
  • Remove or obscure any proprietary notice.

If use of your account threatens the security or availability of the Service for others we may suspend it immediately, and will tell you why as soon as we reasonably can.

7.Subscriptions, billing and trials

7.1Plans

Plans are billed monthly in advance and differ by the number of Members and the features included. Current prices are on our pricing page and are exclusive of tax.

7.2Free trial

Trials do not require a payment card. At the end of a trial, access stops unless you subscribe. Your data is not deleted when a trial ends — it waits, and returns when you subscribe. You may export it at any time.

7.3Automatic renewal

A paid subscription renews automatically each month, and the payment method on file is charged, until you cancel. You may cancel at any time from the billing page in the application. There is no cancellation fee, no notice period, and nothing to ask us for.

Cancelling stops the next renewal. It does not end the period you have already paid for — access continues until that period expires.

7.4Price changes

We may change prices with at least 30 days' notice by email, taking effect at your next renewal. If a rise does not suit you, cancel before it applies. A price agreed at sign-up is held for that subscription until we give you that notice — raising list prices for new customers does not change what you pay.

7.5Failed payments

If a payment fails we will retry and email you. If it remains unpaid we may suspend access to the Service. Suspension does not delete anything — your data remains, and section 12 governs how long.

7.6Refunds

Monthly fees are not refundable except where these Terms say otherwise (section 3 for a withdrawn feature, section 11.2 if we terminate without cause) or where the law requires it. If something has genuinely gone wrong, write to support@easycontractor.app — we would rather deal with it than stand behind this paragraph.

7.7Tax

Prices exclude sales, use and similar taxes. Where we are required to collect them, they are added at checkout.

8.Who owns what

8.1Your data is yours

You own your Customer Data. We claim no ownership of it. You grant us only the licence needed to run the Service for you: to host, store, transmit, back up and display it, and to disclose it to the service providers listed in our Privacy Policy for the purposes stated there.

That licence exists solely to operate the Service. We do not use your Customer Data to train machine-learning models, to build datasets, or for any purpose of our own.

8.2Our software is ours

We own the Service, its software, design and trade marks. These Terms grant you a limited, non-exclusive, non-transferable right to use it during your subscription, and nothing more.

8.3Feedback

If you send us a suggestion, we may use it without obligation or payment. This does not give us any right to your Customer Data.

9.Confidentiality

Each side may learn confidential information belonging to the other. Each will protect the other's with at least reasonable care and use it only to perform this agreement. This does not apply to information that is public through no fault of the recipient, was already known, is independently developed, or must be disclosed by law — in which case the recipient will give notice first where it is permitted to.

10.Support and third-party services

Support is by email at support@easycontractor.app during business hours. We aim to reply within one business day. Support is included in every plan.

The Service depends on third parties — payment processing, email delivery, SMS, hosting — listed in our Privacy Policy. Their failure may interrupt the Service. We choose them carefully and hold them to written obligations, but we do not control them and are not liable for their acts beyond what section 13 provides.

11.Term and termination

11.1You may leave at any time

Cancel your subscription from the billing page, or delete your Organisation entirely from settings. There is no exit interview, no retention offer and no requirement to contact support first. If you delete your Organisation, any active subscription is cancelled at the same moment so you are not billed again.

11.2When we may terminate

We may suspend or terminate your account if you materially breach these Terms and do not fix it within 14 days of being told, if payment remains unpaid, if the law requires it, or if your use threatens the Service for other customers — in which case suspension may be immediate.

If we discontinue the Service or terminate you without cause, we will give at least 60 days' notice and refund any prepaid period remaining.

12.Your data after termination

This section survives termination, and is the part worth knowing before you need it.

  • Export at any time. An account owner can download a complete copy of the Organisation's data as a structured file, from within the application, without asking us. This works during a trial, during a suspension for non-payment, and during the deletion grace window below.
  • A 30-day grace window. Deleting your Organisation does not destroy anything immediately. It is locked but fully recoverable for 30 days, and can be restored in one click during that time.
  • Then it is gone. After 30 days the data is permanently deleted and cannot be recovered by us or by you. Backups containing it age out within a further 14 days.
  • We will not hold your data hostage. Export is never disabled to collect a debt or to make leaving harder.

13.Disclaimers and limitation of liability

13.1Disclaimer

Except as expressly stated, the Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

13.2Limitation

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised such damages were possible.

Our total aggregate liability arising out of or relating to these Terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited — including fraud, wilful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

13.3Keep your own records

Time records may be evidence in a wage dispute or a tax audit. Use the export in section 12 to keep your own copies on your own schedule. Our backups exist to recover the Service, not to serve as your archive.

14.Indemnification

You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms or of the law, or your failure to meet the obligations in section 5 — including any claim by one of your employees about location recording. We will tell you promptly of any such claim and let you control the defence, provided any settlement releases us fully.

15.Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email to account holders before they take effect, and update the date at the top of this page. Continuing to use the Service after that date means you accept the new Terms; if you do not, cancel before then and we will refund any prepaid period remaining.

We will not apply a materially different set of terms retroactively to a period you have already paid for.

16.Governing law and disputes

These Terms are governed by the laws of the State of AL, without regard to its conflict-of-laws rules.

Talk to us first. Before starting formal proceedings, send a written description of the dispute to legal@easycontractor.app. Most things are resolved this way, and both sides agree to try for 30 days.

If that fails, any dispute will be resolved by binding arbitration on an individual basis, administered under the rules of a recognised arbitration body in AL. Each side waives the right to a jury trial and to participate in a class action.

  • Either side may still bring an individual claim in small-claims court.
  • Either side may still seek an injunction to protect intellectual property or confidential information.
  • You may opt out of arbitration by writing to legal@easycontractor.app within 30 days of first accepting these Terms. Opting out costs you nothing and changes nothing else.

17.General

  • You may not assign these Terms without our consent. We may assign them to a successor in a merger or sale of the business.
  • Neither side is liable for delay caused by events beyond its reasonable control.
  • If a provision is unenforceable, the rest stands.
  • Not enforcing a right does not waive it.
  • Notices to you go to the email address on your account; notices to us go to the addresses in section 18.
  • These Terms and the Privacy Policy are the entire agreement between us on this subject and supersede any earlier understanding.
  • Nothing here creates a partnership, agency or employment relationship.
